The IP Clause That Could Own Your Side Project
Broad invention-assignment clauses in employment contracts can claim everything you build outside work. Watch for these exact words.
Invention-assignment clauses were meant for work you do on the job. Many are drafted far wider, reaching anything you conceive during employment, on any equipment, in any field.
The phrases to find are “relates to the business” and “anticipated research and development”. Both pull in side projects that have nothing to do with your day job.
Several states limit these clauses and require a written carve-out for work done on your own time. Ask for that carve-out, and name the project you already have before you sign.
