NDA and Confidentiality Clauses Explained

What to look for in an NDA: term length, scope of confidential information, exceptions, remedies.

Most NDA risk does not sit in the promise to keep secrets. It sits in the definition of what counts as confidential and in how long the duty lasts.

Check four things: a defined term, the standard exceptions, a return-or-destroy provision, and the remedies. An NDA with no end date and no exceptions is a permanent limit on what you may say and build.

Watch for an NDA that quietly carries a non-solicit or a non-compete inside it. Those belong in their own negotiation, not in a document people sign without reading.
